(the “Contest”)

LONG-FORM RULES:

IGA QUEBEC CAMPBELL’S SOUP WARHOL GIFT CARD CONTEST

Enrollment in the AIR MILES® Reward Program is required to participate in the Contest. If you are not enrolled in the AIR MILES® Reward Program, you may enroll online at www.airmiles.ca. By enrolling to become an AIR MILES® Collector in the AIR MILES® Reward Program, you agree to be bound by the terms and conditions of the AIR MILES® Reward Program as amended from time to time.

1. Eligibility

The Contest is open only to legal residents of Quebec (the “Participating Province”) who have reached the age of majority on the date that they entered the Contest. Void where prohibited by law. Notwithstanding this, the Contest is not open to the employees, agents or representatives of
Campbell Company of Canada (the “Sponsor”), IGA, The Mars Agency, CF&R Services Inc, LoyaltyOne Co (the “Contest Administrator”), and suppliers providing prizes or other materials or services in connection with this Contest (collectively, the “Contest Parties”). This Contest is also not open to any members of the immediate families of, or persons domiciled with, any of the Contest Parties. In these Official Rules, “immediate family” means mother, father, brother, sister, son, daughter and/or legal or common-law spouse.

2. How to Enter with Purchase

When you purchase any two (2) participating Campbell’s® soup products in a single transaction (refer to Appendix A for list of participating products) and swipe your AIR MILES® Card at the checkout, you will be automatically entered into the Contest. Valid only at IGA stores located in the province of Quebec only (“Participating Stores”) or with online purchases by eligible entrants at www.IGA.net.

3. How to Enter without Purchase

NO PURCHASE NECESSARY – ENTER FOR FREE: If you are an eligible entrant, you may enter the Contest by printing your first name, last name, telephone number, and email address on a plain white piece of paper and mailing it in an envelope with sufficient pre-paid postage along with a fifty (50) to one hundred fifty (150) word unique and original handwritten essay telling us “what is your favourite Campbell’s soup product and why?” to: PO Box 250 Warhol Contest, Pickering, ON L1V 2R4 (collectively, a “Mail-in Request”). Upon receipt of your Mail-in Request in accordance with these Official Rules, you will receive one (1) mail-in entry (each, a “Mail-in Entry”). To be eligible, a Mail-in Request must be postmarked during the Contest Period and received on or before 11:59:59 PM (ET) on the contest close date. Each Mail-in Request must be unique, and sent separately in an envelope with sufficient prepaid postage. The Sponsor takes no responsibility for any lost, stolen, delayed, illegible, damaged, misdirected, late or destroyed Mail-in Requests. No mechanically reproduced Mail-in Requests or facsimiles will be permitted. For greater certainty, any eligible entrant may submit a Mail-in Request at a limit of one (1) per day. By participating in this Contest, you are confirming that you are of the age of majority in the province in which you reside and that you have read and agree to be legally bound by these Official Rules and Sponsor’s Privacy Policy available at: http://www.campbellsoup.ca/enca/about-us/privacy-policy. To be eligible, your entry (regardless of the method of entry) must be submitted and received within the Contest Period in accordance with these Official Rules. Consent to these terms is not a condition of purchase. In the event of a dispute as to who submitted an entry, the entry will be deemed to have been submitted by the authorized account holder of the AIR MILES Collector Number at the time of entry or the individual named on the Mail-in Request. “Authorized account holder” is defined as the natural person in whose name the AIR MILES Collector Number has been established or, in the case of a Business Account, the principal associated with the Business Collector Number, as determined by LoyaltyOne. The Selected Entrant (defined below) may be required to provide Sponsor with proof that he/she is the authorized account holder of the AIR MILES Collector Number associated with the selected entry. Limit of one (1) Grand Prize or one (1) Secondary Prize and three (3) Tertiary Prizes per person.

4. Timing

The Contest runs from the opening of business of the Participating Store on May 7th, 2020 and ends at the close of business of the Participating Store on May 20th, 2020 (the “Contest Period”). Hours and dates of operation of each Participating Store may vary.

5. Prize Descriptions

There will be one (1) Grand Prize (each a “Grand Prize”) available to be won, each consisting of one (1) one thousand dollar ($1000 CDN) IGA Quebec gift card. Gift cards are valid at participating IGA Quebec stores in Canada.

There will be two (2) Secondary Prizes (each a “Secondary Prize”) available to be won, each consisting of one (1) five hundred dollar ($500 CDN) IGA Quebec gift card. Gift cards are valid at participating IGA Quebec stores in Canada.

There will be thirty (30) Tertiary Prizes (each a “Tertiary Prize”) available to be won, each consisting of one (1) one hundred dollar ($100 CDN) IGA Quebec gift card. Gift cards are valid at participating IGA Quebec stores in Canada.

Without limiting the generality of the foregoing, the following general conditions apply to each Grand Prize, Secondary Prize and Tertiary Prize (together a “Prize”): (i) Prize must be accepted as awarded and is not transferable, assignable or convertible to cash (no substitutions except at Sponsor’s option); (ii) all costs or expenses related to a Prize not expressly stated above as being included in the Prize are the sole responsibility of the winner; (iii) if a winner does not utilize any part(s) of a Prize, then any such part(s) not utilized will be forfeited in their entirety and nothing will be substituted in their place; (iv) Sponsor reserves the right at any time to substitute any Prize or a component thereof for any reason with a prize or a prize component of equal or greater value, including without limitation, but solely at the Contest Sponsor’s sole discretion, a cash award; and (v) by accepting a Prize, each winner agrees to waive all recourse against the Contest Parties and each of their respective officers, directors, employees, agents, representatives, successors and assigns if the Prize or a component thereof does not prove satisfactory, either in whole or in part. Gift cards are subject to the terms and conditions of the issuer.

None of the Contest Parties make any representation or offers any warranty, express or implied, as to the quality or fitness of a Prize awarded in connection with the Contest. To the fullest extent permitted by applicable law, the confirmed winner understands and acknowledges that he or she may not seek reimbursement or pursue any legal or equitable remedy from neither the Sponsor nor the Released Parties should his/her Prize fail to be fit for its purpose or is in any way unsatisfactory.

6. Odds

The odds of winning are dependent on the total number of eligible entries received during the Contest Period.

7. Draw Details

A random draw will occur on June 3rd, 2020 at CF&R Services’ office in Pickering, Ontario from all eligible entries received during the Contest Period (the “Draw”). You do not need to be in attendance to be selected.

8. Winner Contact Details

If you are chosen to be eligible to win a Prize, you will be contacted within fourteen (14) days of the Draw at the telephone number recorded in respect of your AIR MILES® Collector Account. If you have not provided a telephone number you are not eligible to win a prize. In case of a dispute concerning the identity of the individual who submitted an automatic entry with purchase, the entrant will be deemed to be the account holder of the AIR MILES® Collector Account under which the entry was submitted.

To be declared as a confirmed winner of a Prize, each Selected Entrant must answer correctly, without assistance of any kind, whether mechanical or otherwise, a mathematical skill-testing question posed by telephone. The Selected Entrant will also be required to sign and return the Sponsor’s Declaration and Release Form (the “Release Form”), which, among other things: (i) confirms compliance with the Official Rules; (ii) acknowledges acceptance of the Prize as awarded, without substitution; (iii) releases the Contest Parties and each of their respective officers, directors, employees, agents, representatives, successors and assigns and their direct and indirect parent companies, affiliates, subsidiaries, successors, assigns, agents, advisors, franchisees, shareholders, partners and representatives (collectively, the “Released Parties”) from any liability in connection with the Prize or any portion thereof or this Contest; and (iv) agrees to the use of his/her name (first name, last initial), address (city,province/territory) and/or photograph without further notice or remuneration, in connection with any publicity carried out by or on behalf of the Sponsor with respect to the Contest. The Release Form will be emailed or couriered to the Selected Entrant and must be returned within the time period specified on the Release Form or the Prize will be forfeited in its entirety and nothing will be substituted in its place. Upon correctly answering the skill testing question and receipt of the duly completed Release Form by a representative of the Sponsor, arrangements for fulfillment will be confirmed by CF&R Services within approximately eight (8) weeks.

9. Forfeit of Prize

If you cannot be reached within seven (7) days of our first attempt to contact you, do not answer the skill testing question correctly, or otherwise fail to comply with these Contest Rules, then the Prize will be forfeited and another entry will be randomly selected from among the remaining eligible entries as per these Contest Rules until such time as contact is made with a selected entrant or there are no more eligible entries, whichever comes first (in which case the above-noted process will apply to such alternate entrant).

10. Use of Personal Information

By entering the Contest and voluntarily providing your personal information as described in these Contest Rules, you agree to the collection, use and disclosure by the Administrator (and where applicable, the Sponsor), and its respective employees and/or authorized agents, of your personal information, for the purpose of administering the Contest, including—but not limited to—contacting you with respect to the Contest if you are a selected entrant. Personally identifiable information will only be used to administer the Contest and for no other purpose, except as specifically outlined in these Contest Rules. Personally identifiable information will not be sold, shared or disclosed by the Administrator to any third party, other than to the Sponsor or a third party engaged by the Administrator or Sponsor for the purpose of administering the Contest, or if required by law with the exception that aggregated information may be used by or shared amongst the Administrator and its subsidiaries and affiliates, or shared by the Administrator with third parties in accordance with Sponsor’s Privacy Policy available at http://www.campbellsoup.ca/enca/about-us/privacy-policy.

11. Publicity Consent

By entering the Contest, you agree that if you are determined to be a winner, the Administrator and the Sponsor may use your name, comments, voice, likeness, municipality of residence and picture in any advertising, promotion or publicity carried out now or in the future, in any media without compensation or notice, and you grant to the Administrator and the Sponsor any and all rights to such use. You agree to cooperate with the Administrator and the Sponsor in arranging for photographs or other forms of publicity and to be available for photographs or other forms of publicity on reasonable notice.

12. Limitation of Liability / Release

By participating in the Contest, and as a condition of acceptance of the Prize, you, your heirs, executors, administrators, successors and assigns, release and forever discharge and hold harmless the Released Parties from and against any and all losses, damages (including, without limitation, direct, indirect, incidental, consequential or punitive damages), rights, claims, actions, causes of action, personal injury, property damage or death, including without limitation all costs and liabilities of any kind including legal fees on a substantial indemnity scale, hereinafter called “Claims” and including without limitation any claims arising from any act of negligence of the Released Parties, that you now have, or may hereafter have against the Released Parties directly or indirectly resulting or arising from: (i) participation in the Contest, or the awarding, acceptance, possession, use, or misuse or enjoyment of any Prize, and where applicable, traveling to, preparing for, or participating in, any Contest-related or Prize-related event or activity; or (ii) the publicity rights granted to the Sponsor and the Administrator. You specifically acknowledge that you understand that there may be serious risks of bodily injury, death, or property damage associated with the acceptance, possession, use and/or misuse of the Prize and attendance at any event or participation in certain Prize-related activities, and you voluntarily assumes these risks. You also agree to indemnify, defend, and hold harmless the Released Parties from any and all Claims in respect of the foregoing.

13. Compliance with Rules

The Sponsor reserves the right, subject only to the approval of the Régie in Quebec, to adjust any of the dates, timeframes and/or other Contest mechanics stipulated in these Rules, to the extent deemed necessary by the Sponsor, for purposes of verifying compliance by any entrant, entry and/or other information or materials with these Official Rules, or as a result of any technical or other problems, or in light of any other circumstances which, in the opinion of the Sponsor, in its sole and absolute discretion, affect the proper administration of the Contest as contemplated in these Official Rules, or for any other reason.

In the event of any discrepancy or inconsistency between the terms and conditions of these English Rules and disclosures or other statements contained in any Contest-related materials, the terms and conditions of these English Rules shall prevail, govern and control to the fullest extent permitted by law.

For Quebec residents. Any litigation respecting the conduct or organization of a publicity contest may be submitted to the Régie des alcools, des courses et des jeux for a ruling. Any litigation respecting the awarding of a prize may be submitted to the board only for the purpose of helping the parties reach a settlement.

14. Technical Issues

The Sponsor and Administrator are not responsible for any computer, online, telephone, hardware, software or technical limitations or malfunctions that may occur (including but not limited to malfunctions that may affect the transmission or non-transmission of an entry, or failure to receive an entry), nor for any incorrect or inaccurate information, whether caused by website users or by any of the equipment or programming associated with or utilized in the Contest or by any technical or human error which may occur in the processing of entries in the Contest, nor for any error, omission, interruption, deletion, defect, delay in operation or transmission or receipt of entry, communications line failure, theft or destruction or unauthorized access to, or alteration of entries; and, are not responsible for any problems, failures or technical malfunction of any telephone or network lines, computer online systems, servers, providers, computer equipment, software, email, players, or browsers, on account of technical problems or traffic congestion on the Internet, at any website or on account of any combination of the foregoing; and are not responsible for any injury or damage to entrants or to any computer related injury or damage resulting from participating in downloading materials in this Contest.

In the event that, due to a printing, manufacturing, mechanical or other error of any kind or nature whatsoever, more Prizes are claimed than are intended to be awarded according to these Contest Rules, Prizes will stop being awarded when the Administrator becomes aware of an error respecting the number of Prizes and the Administrator reserves the right, in their sole and absolute discretion, to conduct a random draw from amongst all eligible and approved Prize claimants whose claims have not yet been redeemed to award the remaining number of advertised Prizes. In no event will the Sponsor or Administrator be liable for more than the stated number of Prizes contained in these Contest Rules.

15. Rights to Terminate/Modify/Suspend Contest

The Administrator and Sponsor retain the right, in their absolute discretion, to suspend, modify or terminate any aspect of the Contest (including, but not limited to these Contest Rules) at any time. The Administrator and Sponsor may make substitutions of equivalent kind or value in the event of the unavailability of a prize (or component thereof) for any reason whatsoever. The Administrator and Sponsor may terminate or withdraw this Contest at any time by posting a notice at the Participating Stores. If the Contest is terminated on any day prior to the normal Contest end date (the “Termination Date”), the Administrator and Sponsor may determine the winners from all eligible entries received as of the close of business at the Participating Stores on the Termination Date (which winners shall be randomly selected in accordance with these Contest Rules).

16. General Disqualification

Any attempt made by an entrant or other individual or entity, to deliberately damage, manipulate or undermine the legitimate operation of the Contest, including but not limited to any fraudulent claims, is a violation of the law. The Administrator and Sponsor reserve the right to seek remedies and damages from any such individual or entity which makes any such attempt. Any entrant who, in the opinion of the Administrator, is determined to be engaging in any of the foregoing activities will be immediately disqualified from the Contest.

17. Role of Parties

LoyaltyOne, Co. is not responsible for the sponsorship or administration of this Contest.

Campbell Company of Canada is the Sponsor of this Contest. Sobeys Capital Incorporated, The Mars Agency and CF&R Services Inc are the Administrators of this Contest.

18. Trademarks

AIR MILES® and the AIR MILES® marks are trademarks of AM Royalties Limited Partnership used under license by LoyaltyOne, Co. and Sobeys Capital Incorporated and affiliates. Campbell’s is a registered trademark of Campbell Soup Company © 2020 Campbell Company of Canada. All other Trademarks are the property of their respective owners.

19. Jurisdiction and Governing Law

Except where prohibited by law, the parties waive all rights to trial in any action or proceeding instituted in connection with these Contest Rules, including, without limitation, the Contest and any controversy or claim arising out of or relating to these Contest Rules and/or the Contest shall be settled by binding arbitration. Any such controversy or claim shall be arbitrated on an individual basis, and shall not be consolidated in any arbitration with any claim or controversy of any other party. The arbitration shall be conducted in the Province of Ontario, City of Toronto. THESE CONTEST RULES AND THE INTERPRETATION OF ITS TERMS SHALL BE GOVERNED BY AND CONSTRUED IN ACCORDANCE WITH THE LAWS OF THE PROVINCE OF ONTARIO WITHOUT REGARD TO ITS CONFLICTS OF LAWS RULES. For any matters which are not subject to arbitration as set forth in the Contest Rules and/or in connection with the entering of any judgment on an arbitration award in connection with these Contest Rules and/or the Contest, the parties irrevocably submit and consent to the exclusive jurisdiction and venue of the provincial and federal courts located in or closest to the City of Toronto in the Province of Ontario. The parties agree not to raise the defense of forum non conveniens.
